Terms of Service

These Terms of Service ("Terms") govern your access to and use of valifecoaching.com (the "Site") and the coaching and training services offered through it (the "Services"). The Site and Services are operated by Lee Robert Kern Jr., doing business as valifecoaching.com, a sole proprietorship based in the Commonwealth of Virginia. By accessing the Site, booking a session, or using the Services, you agree to these Terms. If you do not agree, do not use the Site or Services.

IMPORTANT - PLEASE READ. Coaching is not therapy, counseling, psychotherapy, medical care, mental-health treatment, legal advice, or financial or investment advice. See Section 4 below.

1. ELIGIBILITY

You must be at least 18 years old to use the Services or to enter into these Terms. By using the Site you represent that you are 18 or older and able to form a binding contract.

2. THE SERVICES

We offer personal, life, leadership, performance, creator-monetization, AI, and Whatnot seller coaching and training, delivered in person or virtually (Zoom, Skype, or FaceTime), individually or in multi-session blocks. Session lengths, formats, and prices are described on the Site at the time of booking and may change. A free initial consultation, where offered, assesses fit and goals and does not by itself create an ongoing coaching relationship.

3. BOOKING, PAYMENT, CANCELLATIONS, AND REFUNDS

Booking and payment: Sessions and blocks are scheduled and, where applicable, paid through the tools on the Site. Fees are due as stated at booking.

Rescheduling and cancellations: Please give as much notice as possible. Specific cancellation windows and any fees will be communicated at or before booking.

Refunds: Coaching is delivered in real time; except where required by law or agreed in writing, fees for sessions already delivered are non-refundable. Any refund policy for prepaid, undelivered sessions will be as stated at purchase.

Late or missed sessions: Time lost to a late arrival is not added to the session and is not refundable.

4. NATURE OF SERVICES AND DISCLAIMERS

Not professional therapy, medical, legal, or financial advice. The Coach is not a licensed therapist, psychologist, physician, attorney, accountant, or financial or investment adviser, and the Services are not a substitute for those. Nothing here is medical, mental-health, legal, tax, accounting, or financial advice. Consult an appropriately licensed professional. If you have a medical or mental-health emergency, call 911.

No guaranteed outcomes. Results depend on your own effort, decisions, and circumstances. We make no guarantee of any particular financial, business, sales, follower-count, income, career, relationship, or personal result. Any references to the Coach's own experience (including Whatnot followers, sales, or selling history) are illustrative only, not a promise you will achieve the same.

Business and reseller coaching. Information about selling on Whatnot, eBay, YouTube, or other platforms reflects the Coach's personal experience and opinion. We are not affiliated with, endorsed by, or sponsored by any platform. You are responsible for complying with each platform's terms and applicable laws.

5. CLIENT RESPONSIBILITIES

Provide accurate information and participate in good faith. Make your own independent decisions and seek licensed professional advice where appropriate. Use the Services and any materials only for your own lawful purposes.

6. CONFIDENTIALITY

We treat the personal information you share during coaching as confidential and will not disclose it except: with your consent; to the limited extent necessary to deliver the Services; or as required by law. Coaching is not a legally privileged relationship like communications with an attorney, physician, or licensed therapist.

7. INTELLECTUAL PROPERTY

All Site content and all coaching materials, frameworks, worksheets, and recordings we provide are owned by the Coach or used with permission. You may use them for your own purposes but may not copy, resell, redistribute, or republish them without our prior written permission.

8. THIRD-PARTY TOOLS AND LINKS

The Site uses third-party tools (hosting, booking, payment processing, email, reCAPTCHA) and may link to third-party sites, each governed by their own terms and privacy policies. We are not responsible for third-party content or practices.

9. DISCLAIMER OF WARRANTIES

The Site and Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, and do not warrant that the Site will be uninterrupted, secure, or error-free.

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law, the Coach will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business interruption. The Coach's total liability for any claim will not exceed the amount you paid for the specific Services giving rise to the claim in the three (3) months before the event.

11. INDEMNIFICATION

You agree to indemnify and hold harmless the Coach from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Site or Services, your violation of these Terms, or your violation of any law or third-party right.

12. GOVERNING LAW AND VENUE

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to its conflict-of-laws rules. Any dispute relating to these Terms, the Site, or the Services will be brought exclusively in the state or federal courts located in Virginia, and you consent to their jurisdiction.

13. CHANGES TO THESE TERMS

We may update these Terms from time to time. Changes take effect when posted on this page with a revised "Last updated" date. Continued use after changes are posted means you accept the updated Terms.
